Medtronic Announces Public Offering of Senior Notes

MINNEAPOLIS -- March 19, 2013 -- Medtronic, Inc. (NYSE:MDT) today announced a registered offering of $1.0 billion of its 1.375% Senior Notes due 2018, $1.25 billion of its 2.750% Senior Notes due 2023 and $750 million of its 4.000% Senior Notes due 2043 (collectively, the "Notes").  The closing of the offering is expected to occur on March 26, 2013, subject to satisfaction of customary closing conditions.  Medtronic intends to use the net proceeds for working capital and general corporate purposes, which may include repayment of its indebtedness.

The Notes will be unsecured obligations of Medtronic and will rank equally with all of Medtronic's existing and future unsubordinated unsecured debt and senior to all of Medtronic's subordinated debt.
