Voting rights and capital structure
In accordance with Disclosure and Transparency Rule 5.6.1, Rexam PLC, the global consumer packaging company, would like to give notice that:
Following the Capital Reorganisation described in the Circular to shareholders published on 8 January 2013 (the Circular) and approved at the General Meeting held at 2.30 pm on 24 January 2013, the Company's share capital now consists of:
790,546,023 Ordinary shares of 71 3/7 pence each entitled to one vote; and 878,384,470 B shares of 45 pence each with no voting rights.
Rexam PLC holds no Ordinary shares in Treasury.
Therefore, the total number of voting rights in Rexam PLC as at 28 January 2013 is 790,546,023.
The above figure (790,546,023) may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Rexam PLC under the FSA's Disclosure and Transparency Rules.
Terms used in this announcement shall have the same meaning as set out in the Circular.
