FIVE POINTS, California - January 11, 2013 - S&W Seed Company (Nasdaq: SANW) today announced the pricing of an underwritten public offering of 1,400,000 shares of its common stock at a price to the public of $7.50 per share. The Company will receive total gross proceeds of approximately $10.5 million, excluding underwriting discounts and expenses. The Company anticipates using the net proceeds from this offering for working capital and general corporate purposes, which may include future business acquisitions.
Piper Jaffray & Co. is acting as the sole manager for the offering, with Wm. Smith & Co. acting as a financial advisor.
The securities described above are being offered by S&W pursuant to a shelf registration statement previously filed with the Securities and Exchange Commission (SEC) and which is currently effective.
